AGREEMENT TO OUR LEGAL TERMS

We are Rygaard Creations (“Company,” “we,” “us,” “our”), a legal entity established, operating, and registered under the laws of the Federative Republic of Brazil, under CNPJ No. 46.840.749/0001-48, with our official headquarters located in the City of Rio de Janeiro, State of Rio de Janeiro, Brazil. We operate the e-commerce storefront hosted at the subdomain https://rise.rygaardcreations.com (the “Site”), as well as any other related products, digital assets, software presets, delivery mechanisms, member portals, or services that refer or link to these legal terms (collectively, the “Services”). We specialize in providing high-utility, premium digital assets, tools, and resources engineered for the 3D animation, VFX, asset creation, 3D printing, and video game development industries.

These Terms and Conditions (“Terms,” “Legal Terms”) constitute a legally binding, valid, and fully enforceable contract made between you, whether personally or on behalf of a corporate legal entity (“you,” “User,” “Licensee”), and Rygaard Creations, concerning your direct access to and use of the Site and the Services. By accessing, browsing, creating a store member account, downloading files, or purchasing any digital product from our Site, you explicitly acknowledge that you have read, understood, and agreed to be unconditionally bound by all of these Legal Terms.

IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, YOU ARE EXPRESSLY AND ABSOLUTELY PROHIBITED FROM ACCESSING OR USING THE SERVICES, BROWSING THE SITE, OR PURCHASING OUR DIGITAL PRODUCTS, AND YOU MUST DISCONTINUE ALL USE IMMEDIATELY.

Supplemental terms, product-specific End User License Agreements ("EULAs"), or ancillary legal updates that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. 1 - GENERAL CONDITIONS & PLATFORM ARCHITECTURE

1.1. E-Commerce Hosting Platform:

Users explicitly acknowledge and agree that our online storefront is entirely hosted, executed, and maintained via Payhip Limited (a company incorporated in England and Wales). Payhip provides the automated infrastructure, merchant database, customer member dashboards, and digital fulfillment backend that allow us to distribute and sell our Products and Services to you. Therefore, your technical interaction with the store is structurally subject to the availability, operational parameters, and terms of service of Payhip Limited. Rygaard Creations bears no liability for structural downtime, hosting crashes, or server exploits originating from Payhip.

1.2. Payment Processing and Data Separation:

To ensure maximum cybersecurity and full compliance with international financial industry standards (such as PCI-DSS), Rygaard Creations does not directly collect, harvest, view, or store your financial details, credit card numbers, CVV codes, or banking credentials. All monetary checkout transactions are securely processed, routed, tokenized, and cleared by independent, third-party automated payment gateways, specifically Stripe and/or PayPal. Consequently, any technical errors, gateway transaction failures, localized billing disputes, or payment processing security events occurring during the checkout phase are the direct administrative and legal responsibility of the respective payment gateways and Payhip, and not of Rygaard Creations.

1.3. User Age Eligibility:

The Services are intended exclusively for users who are at least thirteen (13) years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the explicit permission of, and be directly supervised by, their parent or legal guardian to use the Services. If you are a minor, your parent or guardian must read and accept these Legal Terms in their entirety prior to your purchase or download of any digital asset.

2 - DIGITAL PRODUCTS, SERVICES, AND PRICE MODIFICATIONS

2.1. Nature of the Products:

Rygaard Creations offers immediate-access, unsealable, intangible digital goods tailored for 3D modeling, sculpting, texturing, rendering, and digital art tools. Our product lines include, but are not limited to:

• Rygaard Brushes: Specially engineered premium toolpacks containing diverse algorithmic effects, dynamic behaviors, and pressure-sensitivity attributes custom-tailored for 3DCoat software (delivered in formats including but not limited to .3dcpack, .penpack, .3b, .psd, .png, .tga, .tiff / .tif, .exr / .hdr, or compressed .zip / .rar formats).
• Smart Materials Packs: Advanced material layers, procedural parameters, and PBR asset properties.
• Shaders & Textures: Custom node setups, digital heightmaps, math nodes, and procedural asset overlays.
• Future Asset Expansions: Production-ready 3D animation meshes (.obj, .fbx), digital source files intended for 3D printable collectibles (.stl), and various other unlisted digital resources focused on the 3D, VFX, and animation industries.

2.2. Modification of Products and Services:

Rygaard Creations reserves the right, at its sole and absolute discretion, to modify, update, replace, temporarily suspend, or permanently discontinue any product, tool, brush pack, asset line, preset, or service offering at any time, for any reason, without prior notice or liability. You agree that we shall not be liable to you or to any third party for any modification, technical adjustment, pipeline shift, or discontinuance of the products.

2.3. Dynamic Price Adjustment Clause:

The store explicitly reserves the right to modify, restate, discount, or completely alter the price value of any digital product, license tier, or asset bundle at any time without any prior notice or justification. Price changes will apply immediately to all purchases initiated after the date the updated price is posted on the Site. Rygaard Creations does not offer price protection, retroactive credits, currency adjustments, or partial refunds in the event of subsequent price reductions, promotional sales, flash deals, or storewide discount campaigns.

2.4. Unilateral Terms Modification:

We reserve the absolute right to modify, alter, or rewrite these Terms at any time. Any changes or structural adjustments will enter into force and be fully effective immediately upon their official publication on the Site. The date of the latest amendment will always be displayed at the very top of this document as the "Last updated" timestamp. It remains your exclusive responsibility to periodically review these Terms to stay informed of legal updates. Your continued use of or access to the Services following the posting of any changes constitutes your absolute, irrevocable, and binding acceptance of those modifications.

3 - INTELLECTUAL PROPERTY RIGHTS & PROPRIETARY TITLES

3.1. Ownership of Assets:

All digital products, including but not limited to 3D Coat brush packs (“Rygaard Brushes”), smart materials, shaders, textures, mathematical node setups, 3D meshes, 3D printing STL/OBJ source files, source code, parameters, visual layouts, promotional imagery, video demonstrations, and textual documentation available on the Site (collectively, the "Proprietary Content"), are the exclusive intellectual property of, and are owned solely by, Rygaard Creations and its founder. The Proprietary Content is protected by the Brazilian Copyright Law (Lei nº 9.610/1998), Industrial Property Law (Lei nº 9.279/1996), and international copyright, trademark, patent, and intellectual property treaties worldwide.

3.2. Licensed, Not Sold:

When you purchase a digital asset from our storefront, you are explicitly not buying the ownership, copyright, or title of the files or the underlying intellectual property. Instead, Rygaard Creations grants you a restricted, non-exclusive, non-transferable, revocable, and worldwide license to USE the assets under the strict operational boundaries of the specific license tier purchased. Any unauthorized distribution, reproduction, extraction, or exploitation of the Proprietary Content constitutes an immediate breach of this agreement and a criminal/civil violation of international copyright laws.

4 - EXTENSIVE USE LICENSES & TIERS (INDIVIDUAL & STUDIO COMMERCIAL)

4.1. License Activation and Validation:

As stated in our Universal End User License Agreement (EULA), the specific rights, seats, and commercial permissions granted to you are strictly defined by the exact license tier selected and paid for at the time of checkout, as officially recorded on your Payhip invoice, receipt, or merchant statement. The combination of these Terms, the product EULA, and a valid Payhip receipt serves as your unique License Certificate. No license upgrades, retroactive seat credits, or tier exchanges are permitted after a purchase is completed.

4.2. Breakdown of Authorized License Tiers:

A) INDIVIDUAL / FREELANCER LICENSE:

• Scope: Valid strictly for exactly one (1) natural person (individual digital artist, freelancer, or hobbyist).
• Usage: The licensed assets may be installed on a maximum of two (2) personal workstations concurrently (e.g., a desktop and a laptop), provided that the same individual is the sole user of both machines.
• Commercial Rights: Fully authorized for personal, educational, and commercial client work (e.g., creating rendered 3D art, animations, or commercial game environments), as long as the source assets are integrated into an un-extractable final product.

B) STUDIO COMMERCIAL (1-4 USERS LICENSE):

• Scope: Multi-seat corporate license authorizing a maximum of four (4) concurrent, distinct users (employees or internal contract artists) within the purchasing legal entity/studio to access, install, and use the digital assets simultaneously.

C) STUDIO COMMERCIAL (5-9 USERS LICENSE):

• Scope: Multi-seat corporate license authorizing a maximum of nine (9) concurrent, distinct users (employees or internal contract artists) within the purchasing legal entity/studio to install and utilize the assets simultaneously.

D) STUDIO COMMERCIAL (10+ USERS / SITE LICENSE):

• Scope: Unlimited Enterprise/Studio License for a single corporate studio branch or specific registered company. Authorizes ten (10) or more concurrent internal users within the same legal entity to share, install, and access the assets on the company's secure internal network or secure private cloud server.

4.3. Universal Licensing Restrictions (Applicable to All Tiers): Regardless of the license tier purchased, you and your organization are STRICTLY PROHIBITED from:

• Sub-licensing, selling, reselling, renting, leasing, lending, gifting, or redistributing the source files (including but not limited to .3dcpack, .penpack, .3b, .obj, .fbx, .gltf / .glb, .dae, .stl / .ply, .3ds, .psd, .png, .tga, .tiff / .tif, .exr / .hdr, textures, or shaders) to any third party, external contractor, or client;
• Uploading the assets to public networks, peer-to-peer (P2P) file-sharing platforms, torrent websites, cloud drives shared with unauthorized individuals, or public community servers (such as Discord, Telegram, etc.);
• Extracting, decompiling, unpacking, reverse engineering, or repackaging the brushes, materials, heightmaps, node presets, or textures to sell or distribute them as part of a competitive asset pack, toolkit, stock library, or derivative digital library;
• Using any of the digital assets, source files, meshes, parameters, structures, visual outputs, or brushes to train, fine-tune, test, validate, or feed machine learning models, neural networks, or Generative Artificial Intelligence (AI) platforms without explicit, separate written authorization and a custom contract from Rygaard Creations.

5 - DIGITAL DELIVERY & DOWNLOAD LIMITATIONS (ANTI-PIRACY)

5.1. Automated Delivery Infrastructure:

Upon the successful verification of payment by Stripe or PayPal via the Payhip infrastructure, the customer will be instantly directed to a secure, dynamically generated download page. Concurrently, an automated secure download link will be dispatched to the email address provided during checkout.

5.2. Strict Three (3) Download Attempts Limit:

To aggressively safeguard our intellectual property against link abuse, email sharing, unauthorized mass distribution, scraping, and piratical leakage, each digital asset purchase is hard-capped at a maximum allocation of three (3) download attempts per product. Once these three attempts are exhausted, the secure link will automatically expire and deactivate permanently.

5.3. Absolute Prohibition of Download Managers and Accelerators:

Users are explicitly PROHIBITED from utilizing any automated download managers, multithreading download accelerators, browser scraping extensions, or automated extraction tools (e.g., JDownloader, Internet Download Manager, etc.) when clicking the secure asset link.

• Technical Warning: Download accelerators operate by splitting a single file request into multiple concurrent streams. The Payhip server interprets every separate stream as an independent download attempt. Consequently, using a download manager will instantly consume all three (3) allowed download attempts within seconds, leading to the immediate and permanent lock-out of the link before the file completes its download.
• Liability: Rygaard Creations bears zero technical, financial, or legal liability for the premature expiration or locking of download links caused by the user's failure to adhere to this rule.
• Restoration Discretion: Manual link regeneration due to download manager abuse is handled strictly at the store administrator's sole discretion and requires verification of transaction metadata.

5.4. User Backup Obligation:

It is the exclusive, absolute, and professional responsibility of the User or Studio to securely download, test, and archive the purchased assets on their own permanent hard drives, local network servers, or private cloud storage backups immediately upon transaction completion. Rygaard Creations is under no legal obligation to maintain active file servers indefinitely, to preserve legacy versions of assets, or to manually regenerate expired download links due to user data loss, hardware failure, ransomware, or link mismanagement.

6 - STRICT NO-REFUND POLICY & EXPRESS STATUTORY RIGHTS WAIVER

6.1. Nature of Immediate Execution:

You explicitly acknowledge and agree that all products sold on the Site (including but not limited to Rygaard Brushes, smart materials, shaders, textures, and 3D meshes) are intangible, irreplaceable digital assets. Upon completion of the checkout process, the Payhip platform instantly generates direct, irrevocable access to the download pages and securely dispatches the file delivery links. Due to the irreclaimable, instantly unsealable, and immediately consumable nature of these digital goods, all sales are final, non-cancelable, and absolutely non-refundable.

6.2. Express Waiver of the Brazilian Right of Withdrawal (Art. 49, Código de Defesa do Consumidor - CDC):

• If you are a consumer accessing or purchasing our Services from the Federative Republic of Brazil, you hereby grant your prior, explicit, and irrevocable consent for the immediate execution of this contract through the instant delivery of the digital download links.
• You acknowledge that because digital assets cannot be structurally "returned", deleted from your local memory by the vendor, or "un-downloaded" to the merchant, they are excluded from the traditional scope of the 7-day cooling-off period ("Direito de Arrependimento") under Article 49 of Law No. 8.078/1990. By clicking the purchase button, downloading the assets, or accessing the secure member area, you expressly waive any statutory right to request a refund, cancellation, or return based on the 7-day cooling-off period, as the product is fully consumed and integrated into your hardware at the exact millisecond the download link becomes active.

6.3. Express Waiver of EU/UK Consumer Right of Withdrawal:

• If you reside within the European Union (EU), the European Economic Area (EEA), or the United Kingdom (UK), statutory consumer laws generally provide a 14-day right of cancellation for digital purchases. However, under the EU Consumer Rights Directive (2011/83/EU) and the UK Consumer Rights Act 2015, this right is completely extinguished for digital content delivered via download if the performance has begun with the consumer’s prior express consent and acknowledgment that they thereby lose their right of withdrawal.
• By executing a purchase on our Site, you formally provide your prior express consent to the immediate performance of the contract and explicitly acknowledge that you forfeit, lose, and waive your 14-day right of withdrawal and any entitlement to a refund or cancellation.

6.4. No Pay-The-Difference Upgrades:

If you mistakenly purchase an Individual License instead of a Studio License, or if your team expands post-purchase, our store system cannot issue partial credits, partial refunds, or "pay-the-difference" tier upgrades.

6.5. Check Your Version and Build Number (SOFTWARE):

It is the buyer's sole responsibility to verify that their installed software version and build number matches the technical requirements listed under their selected variant.

6.6. Re-Purchase Requirement:

To legally utilize the assets under a different operational tier, you must purchase a completely new, separate, and standalone license variant that fits your current team size. Your original payment cannot be applied as credit toward the new purchase, and the original transaction remains strictly non-refundable and tied to its original terms.

6.7. Mitigation of Piracy and Abuse:

Rygaard Creations implements rigorous server-side telemetry via Payhip to log IP addresses, timestamps, download attempts, and unique transaction IDs. If our system detects that a download link was triggered or that the files were partially or fully transferred to your device, no customer support representative or automated script has the authorization to issue a refund or store credit under any circumstances.

7 - PAYMENT PROCESSING, FRAUDULENT CHARGEBACKS, AND CONSEQUENCES

7.1. Payment Architecture and Merchant Separation:

As stipulated in Section 1, all billing operations, credit card clearings, and financial clearinghouse settlements are handled exclusively by Payhip Limited, Stripe, and/or PayPal. Rygaard Creations has no administrative access to your raw credit card data, PayPal balances, or bank accounts, and does not possess the technical or operational ability to reverse processing fees or transactions levied by these global payment networks.

7.2. Fraudulent Chargebacks ("Friendly Fraud"):

Initiating a chargeback request, credit card dispute, or payment reversal through your bank, credit card issuer, or PayPal for a digital asset that has already been delivered and accessed constitutes a severe breach of this contract, an act of bad faith, and a direct violation of international civil and criminal fraud laws.

7.3. Immediate Legal and Technical Remedies for Chargebacks: In the event that a User or Studio initiates an unauthorized chargeback or payment dispute, Rygaard Creations and Payhip shall immediately enforce the following defensive measures without prior notice:

• Immediate License Revocation: The End User License Agreement (EULA) and all commercial permissions associated with the transaction will be immediately cancelled, revoked, and terminated retroactively. Any continued use of our brushes, shaders, meshes, parameters, presets, or materials in personal, internal, or commercial projects post-revocation will be treated as a willful, intentional act of copyright infringement and digital piracy.
• Permanent Storefront Ban: The User’s email address, domain names, IP address ranges, and verified billing identity will be permanently blacklisted across our entire Payhip infrastructure.
• Credit Reporting and Anti-Fraud Network Submission: The comprehensive details of the fraudulent dispute, heavily backed by automated server-side download telemetry logs (IPs, download tokens, timestamps, browser strings), will be submitted directly to PayPal, Stripe, and your banking institution to actively overturn the chargeback. This data will also be compiled and submitted to global e-commerce anti-fraud databases and credit reporting agencies, which may severely impact the User's online purchasing score and commercial merchant trust metrics.
• Legal Remedies: We reserve the absolute right to seek full restitution, statutory damages, and reasonable legal and attorneys' fees in the competent jurisdiction for the unauthorized conversion, breach of contract, and theft of intellectual property.

8 - THIRD-PARTY LINKS, PLATFORM PRIVACY & COOKIES

8.1. Payhip Platform Cookies and Data Policies:

Because our entire storefront is established upon, integrated with, and hosted by the Payhip platform, all foundational cookie architectures, session tracking matrices, tracking pixels, and security cookies are directly controlled, executed, and aligned with Payhip Limited's Global Privacy Policy.

• These essential platform cookies are technically required to manage your digital shopping cart, secure the automated redirect flows to Stripe or PayPal, and validate your unique token inside the secure member download zone.
• You acknowledge that Rygaard Creations has no administrative control, technical oversight, or liability regarding the operational deployment or lifespan of Payhip's native cookies. If you choose to configure your internet browser to reject cookies, you accept that the storefront may fail to process your order, block download buttons, or restrict access to your member area entirely.

8.2. Third-Party External Links:

The Services may contain links to external third-party websites, software environments, or digital resources (such as official 3DCoat forums, artist portfolios, or payment processor portals). Rygaard Creations does not monitor, investigate, endorse, or guarantee the accuracy, safety, or compliance of such external links, and we bear no responsibility for any damages, malware infections, or privacy breaches arising from your access to third-party domains.

9 - USER REPRESENTATIONS & REGISTRATION

9.1. Accuracy of Information:

If the operational fulfillment or dynamic licensing verification requires you to register an account or provide user information on the Site, you represent and warrant that all registration data you submit is entirely true, accurate, current, and complete. You agree to maintain the security of your password and accept absolute, sole liability for all activities that occur under your account credentials.

9.2. Account Security:

You are expressly prohibited from sharing your Payhip member account credentials, active download link sequences, or secure session tokens with any third party. Any unauthorized access resulting from your failure to protect your credentials will not constitute grounds for link regeneration, account restoration, or liability on the part of Rygaard Creations.

10 - PROHIBITED ACTIVITIES & LICENSING TERMINATION

10.1. Comprehensive Restrictions:

You may use the Site and the digital assets strictly for authorized purposes in accordance with the purchased license tier. You shall not engage in any systematic data extraction, data mining, scraping, unauthorized reverse engineering of programmatic shaders/materials, or deployment of malicious scripts designed to disrupt the Payhip storefront infrastructure or harvest customer details.

10.2. Automatic Licensing Termination:

Any breach, non-compliance, or violation of any clause within these Terms or the product-specific End User License Agreements (EULAs) will result in the immediate, automatic, and retroactive termination of all commercial and personal licenses granted to you by Rygaard Creations.

10.3. Consequences of Breach:

Upon termination, you and your organization must immediately cease all use of the digital assets (including Rygaard Brushes, smart materials, meshes, etc.), completely delete all source files and copies from your workstations, hardware, local storage systems, and servers, and remove them permanently from any active production pipelines or render engines. Rygaard Creations reserves the right to pursue full equitable remedies, statutory intellectual property damages, and permanent injunctions globally to protect its brand.

11 - TECHNICAL DISCLAIMERS, WARRANTY EXCLUSIONS & LIMITATIONS OF LIABILITY

11.1. "As-Is" and "As-Available" Delivery:

To the maximum extent permitted by applicable national and international laws, the digital products, tools, presets, files, and services are provided strictly on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express, implied, or statutory. Rygaard Creations explicitly disclaims all implied warranties of merchantability, fitness for a particular software workflow, production pipeline compatibility, performance consistency, or non-infringement.

11.2. Software Compatibility Disclaimer:

• The user explicitly acknowledges that our digital products are specifically engineered and optimized for explicit third-party software host environments (e.g., Rygaard Brushes are custom-tailored for 3DCoat software and delivered in formats including but not limited to .3dcpack, .penpack, .3b, .obj, .fbx, .gltf / .glb, .dae, .stl / .ply, .3ds, .psd, .png, .tga, .tiff / .tif, .exr / .hdr, or compressed .zip / .rar formats).
• It is your sole, exclusive professional responsibility to ensure that your local hardware configuration, graphics card drivers, and third-party software versions meet the minimum technical requirements before executing a purchase.
• Rygaard Creations guarantees no universal interoperability with outdated, cracked, un-updated, beta, or alternative software suites, and bears no responsibility or liability for rendering errors, application crashes, file corruption, or pipeline productivity delays caused by third-party software limitations or future updates to 3DCoat’s core source code. The Company is under no legal obligation to provide free technical updates if the core brush engine of 3DCoat changes.

11.3. Overall Limitation of Liability:

In no event shall Rygaard Creations, its founder, or its affiliates be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profits, lost revenue, pipeline delays, data loss, workstation crashes, or other intangible losses—arising from your use of the Site, the assets, or the hosting platform (Payhip), even if we have been advised of the possibility of such damages. Our aggregate, total cumulative liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be strictly capped and limited to the exact monetary amount paid by you to us for the specific digital product SKU that triggered the dispute.

12 - INDEMNIFICATION & USER DATA RESPONSIBILITIES

12.1. Hold Harmless:

You agree to defend, indemnify, and hold completely harmless Rygaard Creations, its founder, operational staff, legal representatives, and corporate partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal and attorneys' fees) arising out of or in any way connected to your misuse of the digital assets, willful violation of these Terms, breach of your representations, or infringement of any intellectual property or privacy rights belonging to a third party.

12.2. Platform-Level Data Compliance:

As noted under Section 8, because the store operates on Payhip's external infrastructure, all personal data handling, server-side processing mechanisms, and transactional privacy protocols conform to Payhip’s external infrastructure framework.
